1. SCOPE OF APPLICATION

These General Terms and Conditions of Sale (the “GTCS”) govern the contractual relationship between:

VOORTMANS Benjamin – Judassime, a company registered in Belgium, with its registered office at IJzerlaan 54/56, 2060 Antwerp, Belgium, registered with the Crossroads Bank for Enterprises under number [to be completed],

and any natural or legal person wishing to acquire a creation.

These GTCS apply to all clients, including international clients. Any order implies full, complete and unreserved acceptance of these GTCS.

 


 

2. NATURE OF CREATIONS

Judassime creations fall within the field of haute couture and consist of pieces that are:

  • handcrafted

  • unique or produced in limited series

  • made-to-measure or adapted

Each creation results from an artistic process. Minor variations may occur and shall not be considered as defects.

The Client acknowledges that the creation involves artistic interpretation and cannot be strictly identical to any initial concept or projection.

 


 

3. ORDER

An order is validated upon:

  • acceptance of the quotation

  • payment of a deposit

Upon validation, the order is firm, final and irrevocable. No cancellation or substantial modification can be guaranteed.

Any abusive payment dispute may give rise to legal proceedings.

 


 

4. ARTISTIC DIRECTION

Judassime retains full artistic discretion in the creation process.

Client requests for adjustments may be accepted, refused, or subject to additional charges.

The Client acknowledges that they cannot require a strict reproduction of a model or inspiration.

 


 

5. PRICE

Prices are expressed in euros.

They include:

  • design

  • manufacturing

  • materials

  • artistic know-how

For orders outside the European Union:

  • prices are exclusive of taxes

  • customs duties and taxes may apply

  • such charges are borne exclusively by the Client

Refusal to pay such charges shall not justify any refund.

 


 

6. PAYMENT

A deposit is required depending on the nature of the creation:

  • Standard orders: no deposit applicable

  • Complex orders or high-value pieces (from €2,000 to €5,000 inclusive): minimum 50%

  • Exceptional or fully bespoke creations (from €5,000): up to 70%

The deposit is mandatory prior to any commencement of work for:

  • complex orders or high-value pieces

  • exceptional or fully bespoke creations

The full balance (including shipping costs) is payable prior to delivery of the piece.

In the absence of full payment:

  • delivery of the creation shall be suspended

  • Judassime reserves the right to retain the piece until full payment is received

 


 

7. DELIVERY TIMES

Delivery times are provided for indicative purposes only.

The Client acknowledges that:

  • quality prevails over timelines

  • no delivery time constitutes a binding commitment

No delay shall justify cancellation, refund or compensation.

 


 

8. FITTINGS AND ADJUSTMENTS

The Client undertakes to:

  • be available

  • attend scheduled appointments

Any delay or absence may result in production delays and additional costs.

For complex or high-value orders, physical fittings are mandatory to ensure quality.

Where fittings cannot take place at Judassime’s premises, travel and accommodation costs shall be borne by the Client.

Acquiring a Judassime piece constitutes an experience starting from the beginning of the project. Fittings and adjustments are an integral part of the creative process.

 


 

9. DELIVERY

Delivery of the creation shall only occur upon full payment.

In the case of hand delivery:

  • a final fitting may be performed

  • validation of the piece triggers immediate payment of the balance

  • delivery occurs immediately after payment

In the case of shipment:

  • full payment is required prior to dispatch

  • Judassime reserves the right to refuse delivery or shipment in case of incomplete payment of the balance

Transfer of risk occurs:

  • upon delivery to the Client

  • or upon handover to the carrier

 


 

10. RECEIPT OF PRODUCTS

The Client has 48 hours to report any apparent defect, supported by evidence.

After this period, the order shall be deemed compliant.

 


 

11. RIGHT OF WITHDRAWAL

In accordance with Belgian and European regulations, the right of withdrawal does not apply to:

  • made-to-measure products

  • personalized products

  • products made upon request

No refund shall be granted after order validation.

 


 

12. CANCELLATION

In the event of cancellation by the Client:

  • the deposit shall be retained

  • no refund shall be granted

If production has already progressed, full payment may be required.

Production is deemed to begin upon cutting of raw materials (textiles and assembly elements).

 


 

13. PENALTIES AND LATE PAYMENT

Any late payment shall result in:

  • late payment interest*

  • fixed compensation**

The applicable interest rate corresponds to the European Central Bank rate, i.e. 8.28% for the second half of 2025, subject to change.

Judassime reserves the right to:

  • suspend orders

  • refuse future collaboration

*Late payment interest calculation:
Interest = (outstanding amount × interest rate × number of days late) / 365

**Fixed compensation:
In addition to late payment interest, the creditor may claim a fixed compensation of €40 per invoice.

 


 

14. INTELLECTUAL PROPERTY

All creations, sketches, designs and know-how remain the exclusive property of Judassime.

Any reproduction or use is strictly prohibited without prior written consent.

 


 

15. IMAGE RIGHTS AND COMMUNICATION

Unless expressly opposed in writing by the Client, Judassime reserves the right to use the creations for communication purposes.

Full confidentiality may be agreed upon upon request and may be subject to financial compensation.

 


 

16. CONFIDENTIALITY

The Parties undertake to maintain confidentiality of all exchanged information.

This obligation survives the termination of the contractual relationship.

Details are governed by the prior Non-Disclosure Agreement entered into between the Parties.

 


 

17. EXCLUSIVITY OF CREATIONS

Creations are made as unique pieces or limited editions.

Judassime reserves the right to reinterpret its creations without identical reproduction.

Full exclusivity may be negotiated.

 


 

18. FINAL VALIDATION

Final validation may occur prior to delivery. In the absence of reservations, the piece shall be deemed accepted.

 


 

19. CLIENT CONDUCT

Judassime reserves the right to refuse or terminate any collaboration in case of inappropriate conduct.

This includes conduct that:

  • is contrary to public order or morality

  • is abusive, defamatory, racist, xenophobic or harmful to reputation

  • incites discrimination or hatred

  • shows disrespect

  • relates to disputes or conflicts

  • involves advertising contrary to Judassime’s values

  • constitutes unlawful behavior

In such cases, all sums paid shall remain acquired.

 


 

20. CARE AND PRESERVATION

The Client is responsible for the care of the piece.

Any damage resulting from improper use shall not engage Judassime’s liability.

 


 

21. ARCHIVING OF CREATIVE ELEMENTS

Judassime retains creative elements, which may be reused in other projects.

 


 

22. LIABILITY

Judassime’s liability is limited to the amount of the order.

No indirect damages may be claimed.

 


 

23. FORCE MAJEURE

Judassime shall not be held liable in the event of force majeure.

Force majeure is defined as an event that is:

  • unforeseeable

  • unavoidable

  • external to the affected party

 


 

24. GOVERNING LAW AND DISPUTES

These GTCS are governed by Belgian and European law.

Any dispute shall fall under the exclusive jurisdiction of the courts of Antwerp.
